These Website Terms and Conditions (the “Terms”) govern your access to and use of the Beavers Charity website, including any related pages, subdomains, mobile experiences, donation pages, event pages, ticketing pages, forms, and other online services that Beavers Charity makes available (collectively, the “Website”). By accessing, browsing, registering with, donating through, purchasing tickets through, or otherwise using the Website, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website.

 

Beavers Charity is a nonprofit organization. References to “Beavers Charity,” “we,” “us,” or “our” mean the organization that operates the Website. References to “you” or “your” mean any individual or entity accessing or using the Website.

Eligibility & Authority

You may use the Website only if you are legally capable of forming a binding contract under applicable law. If you are using the Website on behalf of a business, organization, team, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and your agreement to these Terms will be treated as the agreement of that entity.

Changes to the Website & These Terms

We may modify, update, or discontinue the Website, in whole or in part, at any time, with or without notice. We may also revise these Terms at any time by posting an updated version on the Website and updating the “Last Updated” date. Your continued use of the Website after revised Terms are posted constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

Privacy & Electronic Communications

Your use of the Website is subject to our Privacy Policy, if posted on the Website, which is incorporated into these Terms by reference. By using the Website, you consent to receive communications from us electronically, including emails, text messages where permitted and opted into, postings on the Website, or notices delivered through other electronic means. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Permitted Use & Website Conduct

You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not use the Website in any manner that could disable, overburden, damage, disrupt, or impair the Website or interfere with any other party’s use of the Website. You must not attempt to gain unauthorized access to any portion of the Website, user accounts, systems, networks, or data connected to the Website.

 

You agree not to post, upload, transmit, distribute, or otherwise make available any content that is unlawful, defamatory, obscene, threatening, harassing, hateful, deceptive, infringing, invasive of privacy, or otherwise objectionable, or that encourages illegal activity. You agree not to introduce malware, viruses, or other harmful code, and you agree not to engage in scraping, data-mining, harvesting, automated access, or other activities intended to extract data from the Website without our express written permission.

We reserve the right, in our sole discretion, to refuse service, terminate accounts, remove or edit content, cancel transactions, or restrict access to the Website if we believe you have violated these Terms, misrepresented information, or engaged in behavior that is harmful to us, our mission, our supporters, event participants, or other users.

Donations; Charitable Contributions

Donations made through the Website are voluntary charitable contributions intended to support Beavers Charity’s mission and programs. By submitting a donation, you represent and warrant that you are authorized to use the payment method provided and that the donation information you submit is accurate.

 

Unless otherwise expressly stated in writing by Beavers Charity, donations are not conditioned on the receipt of goods or services and are not refundable except as required by applicable law or as otherwise provided in our refund policy, if posted. Beavers Charity may, in its discretion, decline or return donations, including where we reasonably suspect fraud, unauthorized transactions, duplicate submissions, or other irregularities.

 

Beavers Charity will use donated funds in a manner consistent with its charitable mission and applicable legal obligations. If you request that a donation be used for a specific restricted purpose, your donation may be accepted subject to our ability to honor that restriction in accordance with applicable law and our internal policies. If we cannot reasonably fulfill a stated restriction, we may, in our discretion and consistent with applicable law, contact you to discuss alternatives or return the donation.

 

Tax treatment of charitable donations depends on your individual circumstances. Beavers Charity does not provide tax, accounting, or legal advice, and you are responsible for consulting your own advisors regarding deductibility and related matters.

Ticketing, Event Registration, and Event Participation

The Website may allow you to register for events, purchase tickets, submit information for participation, or make event-related payments. Event details, schedules, pricing, seating, and availability are subject to change. You are responsible for reviewing event descriptions and any event-specific terms presented during checkout or registration, which are incorporated into these Terms by reference. Event-specific terms may include additional requirements related to attendance, participant conduct, age restrictions, waivers, and safety rules.

 

Unless otherwise stated in writing by Beavers Charity, tickets and event registrations are not refundable, not transferable, and not exchangeable. Beavers Charity may, in its discretion, issue refunds or credits in limited circumstances, such as event cancellation, significant rescheduling, or other extraordinary circumstances, subject to administrative fees, third-party processing fees, and applicable law. If an event is postponed or rescheduled, your ticket may be honored for the rescheduled date as determined by Beavers Charity or the ticketing provider.

 

You acknowledge that attendance and participation in events, including athletic activities, may involve inherent risks of injury, illness, property damage, and other hazards. You assume all risks associated with attendance or participation, whether known or unknown, and you agree to comply with all event rules and any venue policies. You further agree that you are solely responsible for determining whether you are medically and physically able to participate and for obtaining any appropriate insurance coverage.

Payments, Processing, and Third-Party Providers

The Website may use third-party service providers to process payments, host pages, provide analytics, deliver communications, manage ticketing, or perform other services. Your transactions may be subject to the terms and privacy practices of those providers. Beavers Charity is not responsible for the acts or omissions of third-party providers, including service interruptions, processing errors, or unauthorized access occurring on third-party systems, except to the extent required by applicable law.

 

You agree to pay all amounts you authorize through the Website, including any applicable fees, taxes, or processing charges disclosed at the time of payment. You acknowledge that banks, payment processors, and third-party platforms may impose additional terms and may require identity verification or fraud-prevention measures.

Intellectual Property; License to Use the Website

The Website and all content on it, including text, graphics, logos, images, videos, design elements, and compilation of content, are owned by or licensed to Beavers Charity and are protected by intellectual property laws. Subject to your compliance with these Terms, Beavers Charity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal, noncommercial purposes, or for legitimate nonprofit-support purposes, as applicable. This license does not include any right to resell or commercially exploit the Website or its content, to collect and use data or content, or to use any automated means to access the Website.

User Content & Submissions

The Website may permit you to submit content, including messages, photos, videos, testimonials, comments, event submissions, fundraising stories, or other materials (“User Content”). You retain ownership of your User Content, subject to the license you grant below, and you are solely responsible for your User Content and the consequences of posting it.

 

By submitting User Content, you represent and warrant that you own or have the necessary rights, permissions, and consents to submit and license such content, and that your User Content does not infringe any third-party rights, including intellectual property, privacy, or publicity rights.

 

By submitting User Content through the Website, you grant Beavers Charity a worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit such User Content in connection with operating the Website, promoting our mission, marketing our events, and conducting our charitable activities, in any media now known or later developed, to the extent permitted by applicable law. You understand that this license may continue even if you stop using the Website, except where prohibited by law or where Beavers Charity agrees in writing to remove specific content.

 

We may, but are not obligated to, review, monitor, or remove User Content at any time for any reason, including if we believe it violates these Terms or could harm Beavers Charity or others.

Copyright & Intellectual Property Complaints

If you believe that content on the Website infringes your copyright or other intellectual property rights, you may notify Beavers Charity using the contact information provided on the Website and include sufficient detail to identify the allegedly infringing material and to support your claim. We may remove or restrict access to content alleged to be infringing and may terminate repeat infringers where appropriate.

THE WEBSITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEAVERS CHARITY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

 

BEAVERS CHARITY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. BEAVERS CHARITY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY INFORMATION ON THE WEBSITE. ANY RELIANCE YOU PLACE ON INFORMATION OBTAINED THROUGH THE WEBSITE IS STRICTLY AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BEAVERS CHARITY, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, CONTRACTORS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE, ANY CONTENT ON THE WEBSITE, ANY DONATION OR PAYMENT, ANY EVENT REGISTRATION OR TICKET PURCHASE, OR ANY INTERACTION WITH OTHER USERS OR THIRD PARTIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEAVERS CHARITY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO BEAVERS CHARITY THROUGH THE WEBSITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

 

Some jurisdictions do not allow certain limitations of liability or disclaimers of warranties, so some of the above limitations may not apply to you. In such cases, Beavers Charity’s liability will be limited to the fullest extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Beavers Charity and its directors, officers, employees, volunteers, agents, contractors, affiliates, and service providers from and against any claims, demands, causes of action, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your access to or use of the Website, your User Content, your violation of these Terms, your violation of any law or regulation, or your infringement of any intellectual property, privacy, or other right of any person or entity.

Suspension & Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including if we believe you have violated these Terms, engaged in fraudulent or abusive conduct, or posed a risk to Beavers Charity, the Website, other users, or third parties. Upon termination, the licenses granted to you will cease, and you must stop using the Website. Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.

Governing Law & Venue

These Terms and any dispute arising out of or relating to the Website or these Terms will be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict-of-law principles. Subject to the arbitration provision below, if applicable, you agree that any legal action or proceeding arising out of or relating to these Terms or the Website will be brought in the state or federal courts located in Utah, and you consent to the personal jurisdiction of such courts.

Dispute Resolution; Arbitration; Class Action Waiver

Beavers Charity encourages the prompt and amicable resolution of disputes. Before initiating formal proceedings, you agree to contact us using the contact information on the Website and provide a brief written description of your dispute and your contact information, and you agree to allow a reasonable opportunity to resolve the issue.

 

To the extent permitted by applicable law, Beavers Charity may elect, in its sole discretion, to require that any dispute, claim, or controversy arising out of or relating to the Website or these Terms be resolved by binding arbitration administered by a recognized arbitration provider, conducted in Utah, and in the English language, with an arbitrator empowered to award any relief available in court except as limited by these Terms. If Beavers Charity elects arbitration, you agree to participate in arbitration and to waive the right to a jury trial. If arbitration is not permitted under applicable law for a particular claim, that claim will proceed in court consistent with the venue provision above.

 

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action, and you waive any right to participate in a class action or class arbitration. If a court determines that this waiver is unenforceable as to a particular claim, then that claim must proceed in court and only as to that claim.

Compliance, Safety, and Event Rules

You agree to comply with all applicable laws, regulations, and rules related to your use of the Website and any event you attend or participate in. You also agree to comply with any venue rules, codes of conduct, participant requirements, and safety guidelines made available by Beavers Charity or event partners, including requirements related to supervision of minors, permitted equipment, and behavior standards. Beavers Charity may remove or refuse admission to any individual whose conduct is unsafe, disruptive, unlawful, or inconsistent with our mission or event rules, without refund where permitted by law.

Force Majeure

Beavers Charity will not be liable for any delay, failure, or interruption of the Website, any event, or any performance under these Terms that results from causes beyond our reasonable control, including acts of God, natural disasters, severe weather, fire, epidemic or pandemic, labor disputes, war, terrorism, civil unrest, governmental actions, power outages, telecommunications or internet disruptions, or failures of third-party platforms or service providers.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it enforceable, consistent with the original intent.

Waiver

No waiver by Beavers Charity of any term or condition set out in these Terms will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Beavers Charity to assert a right or provision under these Terms will not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without Beavers Charity’s prior written consent. Beavers Charity may assign these Terms, in whole or in part, at any time without notice, including to an affiliate or successor organization, or in connection with a reorganization, merger, or transfer of assets consistent with applicable law.

Entire Agreement

These Terms, together with any policies or event-specific terms incorporated by reference, constitute the entire agreement between you and Beavers Charity regarding the Website and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Website.
